TERMS OF SERVICES

TERMS OF SERVICES

Please read these Terms carefully. They include a limitation of our liability (Section 12), an arbitration clause with a waiver of class actions (Section 16) and a reservation of our privileges and immunities (Section 17).

1. ABOUT THESE TERMS

1.1 These NK5 Terms of Service (the "Terms") are between you and the International Innovation Agency (the "IIA", "we", "us" or "our"), a specialized agency of the World Sports Alliance IGO (the "WSA"), domiciled at Bahnhofstrasse 21, 6300 Zug, Switzerland.

1.2 We operate www.nk5chain.com (the "Site") and the NK5 systems in the exercise of our functions and in furtherance of our mandate, including support for public campaigns.

1.3 The Terms apply when you use the Site or the NK5 systems, or acquire, hold or use NK5, however you obtained it. By doing any of these things, you accept the Terms. If you do not accept them, do not use the Site or the NK5 systems and do not acquire, hold or use NK5.

1.4 The NK5 Disclaimers published on the Site (the "Disclaimers") form part of the Terms.

1.5 If documents conflict, they apply in this order: (a) the constituent instruments of the IIA and the rules and decisions of its competent organs; (b) in their own areas only, the Grant Rules (grants of NK5 to United Citizens), the Business Consortium terms (membership in the Business Consortium), the United Citizens terms (participation in United Citizens campaigns), the Terms of Use of the IIA (www.iiaio.org) and our Privacy Policy (personal data); (c) these Terms; (d) the Disclaimers; and (e) any other content of our websites, documents or campaign materials. This order does not affect any mandatory law that applies to you.

1.6 The WSA is not a party to these Terms. The IIA alone is the issuer of NK5 and is solely responsible to you for NK5, the NK5 systems and the Site, and you have no claim against the WSA under or in connection with these Terms. This does not affect the IIA’s appointment by, or its mandate from, the WSA.

2. DEFINITIONS

2.1 "NK5" means the IIA’s digital utility token, an ERC-20 token on the Ethereum network issued at the contract address 0x401F34aEb1Ee5dE17cB44E9364D68101fFB6b954.

2.2 "NK5 systems" means our applications, smart contracts and related tools, including the support tools that we make available to NK5 holders on the United Citizens website (the "Support tools"). The NK5 Chain has not been launched and is not covered by these Terms.

2.3 "IIA Parties" means the IIA, its organs, its Managing Director, officials, appointed persons, staff, developers, contractors, service providers and agents.

2.4 "Restricted Person" has the meaning given in Section 3.2.

2.5 "Constituent instruments" means the statutes under which the IIA was established, the international agreement by which it was appointed as a specialized agency, and, from their entry into force, its Articles of Agreement. "Rules and decisions of its competent organs" means the resolutions, rules and decisions adopted under those instruments.

3. WHO CAN USE NK5

3.1 You may acquire, hold or use NK5 only if you are at least 15 years old and have reached the age of majority where you live or, if you have not, with the consent of a parent or legal guardian. By using NK5, you confirm that this condition is met.

3.2 You may not use the Site, the NK5 systems or NK5 if you are a "Restricted Person", meaning a person who is: (a) resident, located or organized in the United States, or a "U.S. person" as defined in Regulation S under the United States Securities Act of 1933, as amended; (b) resident, located or organized in a country or territory under comprehensive sanctions, including Cuba, Iran, North Korea, Syria, Russia, Belarus and the Crimea, Donetsk and Luhansk regions of Ukraine; or (c) subject to sanctions administered by the United Nations, Switzerland, the European Union, the United Kingdom or the United States. We may block access from these places.

3.3 You confirm that you are not a Restricted Person and are not acting for one.

3.4 You must not use a VPN, proxy or any other means to get around any restriction in this Section or any blocking of access.

3.5 We may ask you for information we reasonably need to comply with the law or to check your eligibility, and you must provide it accurately. We may refuse or end your access if you do not.

4. WHAT NK5 GIVES YOU

4.1 NK5 gives you no right other than access, as described in the Disclaimers, to the Support tools.

4.2 Membership in the Business Consortium requires holding a minimum of NK5 and is governed exclusively by the Business Consortium terms signed with the IIA. Holding NK5 does not by itself confer membership in the Business Consortium.

4.3 Grants of NK5 to eligible United Citizens are governed by the Grant Rules. No one is entitled to a grant until it is received. We may refuse, cap, delay or change any grant, or the criteria and timing of grants, in accordance with the Grant Rules.

4.4 We have no obligation to redeem, buy back, refund or support the value or liquidity of NK5, to maintain any market for NK5, or to give any reward, prize or yield in respect of NK5. We may add to, change or withdraw any liquidity we provide, at any time and without notice.

5. TESTING

5.1 The NK5 systems are in testing. Every user of the NK5 systems, including members of the Business Consortium, takes part as a tester.

5.2 We may change, reset, suspend or discontinue any function, tool, application or data of the NK5 systems at any time and without notice. We have no obligation to keep any function, preserve any data or proceed with any launch.

5.3 If you find an error or vulnerability in the NK5 systems, you must report it to us in confidence at security@iiaio.org, and you must not exploit, disclose or publish it until we have fixed it or allowed you to disclose it. We may use any feedback you give us freely.

5.4 To the extent the law allows, you release the IIA Parties from any claim arising from the testing of the NK5 systems, including any change, reset, suspension or discontinuation.

6. THIRD-PARTY SERVICES AND FEES

6.1 The bridge on the Site is a third-party service provided by thirdweb under its own terms. We make it available on the Site, but we do not operate it, do not route or execute transactions through it and are not a party to any transaction made through it. By using it, you accept thirdweb's terms and the risks of its service. Decentralised protocols, wallets and the Ethereum network are run by third parties, and your use of them is governed by their own terms. We receive no commission, and we are not responsible for any routing, execution, fee, confirmation or loss connected with any of these services. We may remove, suspend or replace the bridge or any other third-party service on the Site at any time and without notice.

6.2 You pay all network fees and third-party fees, including bridge and swap fees, for your transactions. These fees are not refundable, even if a transaction fails.

7. YOUR RESPONSIBILITIES

7.1 You acquire and hold NK5 for your own account and at your own risk, and you accept the risks described in the Disclaimers.

7.2 If you sell or transfer NK5, or create or provide liquidity for NK5, you do so in your own name and under your own responsibility. You must comply with all laws that apply to you, including any regulatory duty, and make these Terms and the Disclaimers available to the person who receives NK5 from you. You are not our agent or representative.

7.3 You are solely responsible for complying with the laws that apply to you and for any tax arising from acquiring, holding, using or transferring NK5.

7.4 You are solely responsible for the security of your wallets, private keys and credentials, and for every transaction made from them. We do not hold NK5 for you, we cannot reverse, cancel or recover any transfer, and we will never ask for your private key or recovery phrase.

7.5 You must not: (a) breach or attempt to breach the security or integrity of the NK5 systems, the NK5 smart contract or the Site; (b) use more than one identity where one identity is required; (c) make any public statement on our behalf; or (d) use NK5 or the NK5 systems for any fraudulent or unlawful purpose.

8. SUSPENSION

8.1 We may suspend, restrict or end your access to the Site or the NK5 systems, and restrict any associated wallet on our interfaces, if: (a) we believe you have breached these Terms; (b) the law, a court order or another legal process requires it; (c) continuing would expose the IIA to legal, regulatory or litigation risk; (d) a third-party provider no longer supports the service; or (e) you try to get around any restriction or control, including by using more than one identity.

9. CONTENT YOU SHARE

9.1 If you share content through the Support tools, you give us a non-exclusive, royalty-free, worldwide licence to host, reproduce, display and distribute it for the purposes of the campaign. You confirm that you have all rights needed to share it and that it is lawful.

9.2 You must not share content that is defamatory, insulting, harassing, hateful, misleading, infringing, unlawful or sent as unsolicited advertising, or that misrepresents any State, person or organization.

9.3 You may report content that you believe breaches this Section, or infringes your rights, at legal@iiaio.org. We may remove any content at any time, with or without a report.

10. LICENCE AND INTELLECTUAL PROPERTY

10.1 We give you a limited, personal, non-exclusive, non-transferable and revocable licence to use the Site and the NK5 systems in accordance with these Terms. We may revoke this licence at any time, including in any of the cases set out in Section 8. All other rights are reserved.

10.2 You may not use the names, emblems or marks of the IIA or NK5 without our prior written consent.

11. NO WARRANTIES AND NO FIDUCIARY DUTIES

11.1 NK5, the NK5 systems and the Site are provided "as is" and "as available". To the fullest extent the law allows, we exclude all representations and warranties, express or implied.

11.2 We are not a bank, broker, investment adviser or other financial intermediary, and we owe you no fiduciary duty.

12. LIMITATION OF LIABILITY

12.1 Subject to Section 12.4, in no event shall the IIA Parties be liable to you under any theory of liability for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, digital assets or opportunity, whether in contract, tort or otherwise, even if advised of the possibility of such damages, including as a result of: (a) your use of, or inability to use, the Site, the NK5 systems, NK5 or anything obtained through them; (b) any content of the Site, any third-party content or any third-party service, including the bridge and any decentralised protocol; or (c) any loss of data or digital assets.

12.2 The total liability of the IIA Parties to you will not exceed the greater of CHF 100 and the amount you paid directly to the IIA in the 12 months before your claim.

12.3 To the fullest extent the law allows, if you are dissatisfied with the Site or the NK5 systems, your sole and exclusive remedy is to stop using them.

12.4 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited by law, including liability for intentional misconduct or gross negligence, or for death or personal injury, or any right you have as a consumer that cannot be waived.

13. INDEMNITY

13.1 To the extent the law allows, you will indemnify the IIA Parties against any claim, loss, liability or expense (including reasonable legal fees) arising from your breach of these Terms, your exploitation of any vulnerability, content you share, any sale, transfer or provision of liquidity of NK5 by you, or any claim by someone who acquired NK5 from you.

13.2 We may, at our own cost, take over the exclusive defence and control of any matter you must indemnify us for, including the assertion of our immunities, privileges and exemptions, and we may settle it. If we settle without your written consent, your indemnity covers the settlement amount only to the extent that it is reasonable. You must not settle any such matter without our prior written consent. Taking over, defending or settling a matter does not mean that we accept any claim, submit to any jurisdiction or waive any immunity, privilege or exemption.

14. CHANGES TO THESE TERMS

14.1 We may update these Terms and the Disclaimers by publishing a new version on the Site, and we will show the date of the last update. Changes apply only from their effective date.

14.2 A change that adversely affects your rights or obligations under these Terms or the Disclaimers takes effect no earlier than 15 days (30 days for changes to Section 16) after we give notice of it on the Site, unless applicable law requires a longer period.

14.3 Any other change to the Disclaimers, including an update of factual information or of a risk warning, takes effect when it is published.

14.4 NK5 you hold remains valid when these Terms are updated.

14.5 If you keep using the Site or the NK5 systems after a change takes effect, you accept the updated Terms.

15. GOVERNING LAW AND INTERPRETATION

15.1 These Terms are governed by the constituent instruments of the IIA, the rules and decisions of its competent organs and general principles of international law and, for anything not covered by them, by Swiss law (excluding its conflict-of-law rules).

15.2 If a question about the meaning of the constituent instruments of the IIA, or about its status, privileges and immunities, arises in an arbitration under Section 16, the arbitrator will apply any interpretation of that question already published by the Special General Assembly of the IIA. If none exists, the arbitrator will refer the question to the Special General Assembly, which will give a reasoned interpretation within 60 days, and the arbitrator will apply it. If no interpretation is given within 60 days, the arbitrator will decide the question. Any interpretation, and any document it relies on, will be shared with the parties and the arbitrator and kept confidential within the arbitration. This Section does not affect the arbitrator's authority to interpret these Terms and decide the dispute.

15.3 These Terms are in English. Any translation is for reference only, and the English version prevails. Headings are for convenience and do not affect interpretation.

16. DISPUTES

16.1 Before starting any proceedings, you must notify us of your dispute in writing at legal@iiaio.org, and we will both try to settle it amicably within 60 days.

16.2 If the dispute is not settled within the period in Section 16.1, either you or we may refer it to the IIA’s Special General Assembly by written notice to legal@iiaio.org. The Special General Assembly will review the dispute, give both of us an equal opportunity to present our positions in writing, and give a reasoned decision within 90 days of the referral. This decision binds the IIA. It does not bind you, and it does not take away your right to arbitration under Section 16.3. No arbitration may be started until the dispute has been referred and either the decision has been given or the 90-day period has passed.

16.3 If you do not accept the Special General Assembly’s decision, or if no decision is given within 90 days of the referral, the dispute shall be resolved by arbitration in accordance with the Swiss Rules of International Arbitration of the Swiss Arbitration Centre in force on the date on which the Notice of Arbitration is submitted in accordance with those Rules. The number of arbitrators shall be one. The seat of the arbitration shall be Geneva, Switzerland. The arbitral proceedings shall be conducted in English. The arbitrator must not be or have been an official of the IIA or of any affiliated organization, or a member of the Special General Assembly. The arbitration will be confidential, and the award will be final and binding.

16.4 The arbitrator, and not any court, will decide any question about the existence, validity, scope or enforceability of this Section.

16.5 To the extent the law allows, disputes will be resolved individually only, and not as a class, collective or representative action.

16.6 Subject to Section 17, if you are a consumer, nothing in these Terms takes away the protection of the mandatory laws of the country where you live, including any right to bring proceedings in the courts that are competent under those laws.

17. PRIVILEGES AND IMMUNITIES

17.1 Nothing in these Terms shall be construed as a limitation upon or a waiver, renunciation or modification of any immunities, privileges or exemptions of the IIA accorded under its constituent instruments, international convention or any applicable law. Such immunities, privileges or exemptions are specifically reserved.

17.2 In particular, the IIA's property and assets, wherever located and by whomever held, are immune from search, requisition, confiscation, expropriation, execution, attachment, seizure and any other form of interference, whether by executive, administrative, judicial or legislative action, unless the IIA has expressly waived that immunity in a particular case. You agree not to seek or enforce any such measure against them.

17.3 No waiver of any immunity, privilege or exemption of the IIA shall be implied from these Terms, the Disclaimers or any conduct of the IIA, including taking part in negotiation, the review by the Special General Assembly, any arbitration or the defence of any claim. Agreeing to arbitration under Section 16 is not a waiver of immunity from execution. A waiver is effective only if it is express, in writing and signed by the IIA.

18. GENERAL

18.1 These Terms, including the Disclaimers, together with the documents referred to in Section 1.5, are the entire agreement between you and us on their subject and replace any earlier disclaimer, terms, statement, agreement or understanding on that subject.

18.2 If any part of these Terms is held invalid or unenforceable by an arbitrator or other competent authority, it will be applied to the greatest extent permitted, in line with its intention, and the rest of these Terms will remain in effect.

18.3 If we do not enforce a right, or delay doing so, we do not waive it. A waiver binds us only if it is in writing and signed by us.

18.4 You may not assign or transfer your rights or obligations under these Terms. We may assign or transfer ours.

18.5 We are not liable for any failure or delay caused by circumstances beyond our reasonable control, including cyberattacks, network failures and significant market volatility in digital assets.

18.6 Sections 5.4, 6.2, 7, 9 and 11 to 17 continue to apply after these Terms end.

19. CONTACT

19.1 You can contact us, and send any notice, at legal@iiaio.org.
