These Disclaimers are published by the International Innovation Agency (the "IIA", "we", "us" or "our"), a specialized agency of the World Sports Alliance IGO (the "WSA"), domiciled at Bahnhofstrasse 21, 6300 Zug, Switzerland. They apply to anyone who reads any of our websites, documents or campaign materials, or who acquires, holds or uses the NK5 token, however acquired.

Nothing in these Disclaimers is legal, financial, investment, tax or other advice. Please consult your own professional advisers before doing anything in connection with NK5.

These Disclaimers form part of the NK5 Terms of Service published at www.nk5chain.com (the "Terms"). If you use www.nk5chain.com, the NK5 systems or NK5, you accept these Disclaimers as part of the Terms.

Our liability, your indemnity, the governing law, the resolution of disputes and the reservation of our privileges and immunities are set out in the Terms only. The order in which our documents apply is set out in Section 1.5 of the Terms.

1. ABOUT NK5

NK5 is the IIA's digital utility token. It is an ERC-20 token on the Ethereum network, issued at the contract address 0x401F34aEb1Ee5dE17cB44E9364D68101fFB6b954. NK5 works only as a key of access: if you hold NK5 in a connected wallet, you can use the support tools that we make available to NK5 holders on the United Citizens website (the "Support tools"). Using the Support tools does not use up your NK5. Access tiers of 1, 50, 250 and 1,000 NK5 unlock tools only. NK5 is not a reward, and holding NK5 has no effect on any vote cast in a United Citizens campaign.

Membership in the Business Consortium requires holding a minimum of NK5. It is governed by the Business Consortium terms signed with the IIA, and holding NK5 does not by itself confer membership.

Grants of NK5 to eligible United Citizens are governed by the Grant Rules. No one is entitled to a grant until it is received, and grants may be refused, capped, delayed or changed, as set out in Section 4.3 of the Terms.

The WSA is not the issuer of NK5. The IIA alone is responsible for NK5, and this does not affect the IIA's appointment by, or its mandate from, the WSA (see Section 1.6 of the Terms).

2. TESTING

Our applications, smart contracts and tools (the "NK5 systems") are new, experimental and in testing. Every user of the NK5 systems, including Business Consortium members, takes part as a tester. The NK5 systems may contain defects or vulnerabilities and may not work as planned. Functions, data and balances shown in the tools may be changed, reset, interrupted or discontinued, as provided in Section 5 of the Terms. The NK5 Chain has not been launched.

3. WHAT NK5 IS NOT

NK5 is not money, electronic money, a deposit or a means of payment. It is not a security, financial instrument, investment product, commodity, loan or debt instrument, or a unit in a collective investment scheme. It gives you no ownership, equity or governance interest in, and no claim on the assets or revenues of, the IIA or any affiliated organization. It gives you no right to dividends, profits, returns, redemption, liquidation proceeds, intellectual property or financial information. NK5 is not intended for speculation.

4. NO VALUE, PRICE OR LIQUIDITY COMMITMENT

NK5 has no intrinsic value, and you may lose its value in full. We make no commitment about the price, value or liquidity of NK5, and we have no obligation to redeem, buy back, refund or support the value or liquidity of NK5. NK5 is not covered by any deposit-guarantee or investor-compensation scheme.

Liquidity for NK5 may exist on decentralised protocols run by third parties. This may include liquidity we provide, on terms (such as amount and price range) that we set and may add to, change or withdraw at any time without notice. While our liquidity is in place, the protocol may automatically sell or buy NK5 against it; this is how the protocol works and is not a commitment by us. We do not control those protocols, the trades of other users, liquidity provided by others, or the prices that result. Providing liquidity is not a commitment to support the price, value or liquidity of NK5, nor a recommendation to acquire NK5. We do not operate any trading venue. There may be no market for NK5, and you may be unable to sell it.

5. NO OFFER OR SOLICITATION

Unless we have signed a written agreement with you, nothing on our websites or in our documents, campaign materials or statements is an offer, solicitation, invitation or recommendation to acquire, sell or hold NK5 or any crypto-asset, security or financial instrument, in any country.

6. REGULATORY STATUS

As at the date shown above, NK5, these Disclaimers and the Terms have not been registered with, notified to, authorized or approved by any financial supervisory authority in any jurisdiction, and no such authority has assessed the legal classification of NK5. You may have no regulatory or other recourse for any loss in connection with NK5. The publication of a document or of information does not mean that any law, regulation or rule has been complied with.

7. RISK WARNINGS

Acquiring, holding or using NK5 involves significant risks, including that:

(a)  NK5 may be volatile and may lose its value in full;

(b)  there may be no market or liquidity for NK5;

(c)  the NK5 smart contract, the Ethereum network, decentralised protocols and third-party tools may contain defects, may be attacked and may fail;

(d)  the NK5 systems may be changed, reset or discontinued;

(e)  transactions cannot be reversed, and mistakes in addresses or amounts cannot be corrected;

(f)  a transaction may not be confirmed or processed;

(g)  forks, network congestion, fees and changes to the Ethereum network may affect NK5;

(h)  further allocations or grants of NK5, and transfers by other holders, may affect any value given to NK5;

(i)  wallets, private keys and recovery phrases may be lost or stolen, and we cannot recover them; and

(j)  laws and regulations may change and may restrict or prohibit acquiring, holding, using or transferring NK5.

8. THIRD-PARTY SERVICES AND FEES

The bridge on www.nk5chain.com is run by ThirdWeb under its own terms, and ThirdWeb charges you its own fees. Decentralised protocols, wallets and the Ethereum network are run by third parties. We receive no commission on transactions made through them. Network and bridge fees are paid by you and are not refundable. Our responsibility for third-party services is set out in Section 6 of the Terms.

9. NO RELIANCE

Everything we publish is for information only and is not intended to be relied on when making any decision. We make no representation or warranty that it is accurate, complete, reliable or up to date. Information about third parties comes from sources we consider reliable but have not verified. We have no obligation to update any information. We do not act as your adviser, broker or fiduciary.

10. FORWARD-LOOKING STATEMENTS

Statements on our websites, in our documents, press releases or campaign materials, or made orally on our behalf, about plans, programmes, projects, roadmaps, the NK5 Chain, partnerships and other future matters reflect our current intentions only. They involve known and unknown risks and uncertainties, are not commitments or guarantees, and may be changed, delayed or abandoned at our discretion. Do not place undue reliance on them.

11. WHO CANNOT USE NK5

NK5 has not been registered under the United States Securities Act of 1933, as amended. NK5, the NK5 systems and all NK5 documents are not directed at, and may not be used or acted upon by, Restricted Persons, as defined in Section 3.2 of the Terms, or persons who do not meet the age condition in Section 3.1 of the Terms. Section 3 of the Terms is the only test of eligibility. Using a VPN, proxy or any other means to get around these restrictions is not permitted. NK5 may not be permitted where you live; you are responsible for complying with the laws, including tax laws, that apply to you.

12. REFERENCES TO COUNTRIES AND TERRITORIES

We refer to countries, territories and jurisdictions solely in furtherance of the IIA's mandate. These references do not recognise, or express any view on, the legal or political status of any territory, and do not mean that NK5 may lawfully be acquired, held or used there.

13. PRIVILEGES AND IMMUNITIES, LANGUAGE AND UPDATES

Section 17 of the Terms reserves the IIA's immunities, privileges and exemptions, and nothing in these Disclaimers will be construed as a limitation upon or a waiver of them. These Disclaimers are in English; any translation is for reference only, and the English version prevails. We may update these Disclaimers as set out in Section 14 of the Terms; the date of the last update is shown at the top.
